LIFEWISE INFLUENCER AGREEMENT
This Influencer Agreement (“Agreement”) is entered into as of [Date], by and between LifeWise (“Company”) and [Influencer Name] (“Influencer”). Company and Influencer may be collectively referred to as the “Parties” and individually as a “Party.”
1. Purpose
2. Appointment and Scope
2.1 Non-Exclusive Appointment – LifeWise appoints Influencer as a non-exclusive, independent contractor affiliate to promote LifeWise services and refer prospective clients.
2.2 No Employment – Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture.
3. Compensation Structure
Influencer will be compensated as follows for referred clients that engage LifeWise for marketing services:
- New Account Bonus: $100 for each new client who signs an agreement with LifeWise and becomes an active paying customer.
- Recurring Revenue Share: 20% of all ongoing SaaS or monthly platform/service fees paid by that client to LifeWise, for as long as the client remains active.
- Media Commission Share: 20% of LifeWise media commissions earned from the paid advertising spend of referred clients.
- Performance Bonuses: Cash and/or equity (stock) bonuses will be awarded upon achieving specified referral or revenue milestones, as determined by LifeWise.
- Inbound Influencer Assignments: From time to time, LifeWise may refer its own managed clients to Influencer for influencer campaigns. Such assignments will be paid at the rates agreed between Influencer and LifeWise for each campaign, in addition to the above compensation.
4. Payment Terms
4.1 LifeWise will pay earned commissions and bonuses monthly, within [X] days after the close of each month, with a report detailing earnings.
4.2 Payments will be made via [Bank Transfer / PayPal / Other].
4.3 Refunds or chargebacks from referred clients will be netted against future payments.
5. Influencer Obligations
The Influencer agrees to:
- Use best efforts to promote LifeWise services in a professional and ethical manner.
- Use only approved marketing materials, or obtain Company approval for custom materials.
- Accurately represent LifeWise services and pricing.
- Comply with all applicable laws, including the FTC Endorsement Guidelines when making public statements or posts.
6. Company Obligations
LifeWise will:
- Provide Influencer with a unique referral link, tracking tools, and marketing assets.
- Maintain transparent reporting of referred clients and resulting earnings.
- Pay Influencer according to this Agreement’s terms.
Consider Influencer for inbound influencer campaign opportunities where appropriate.
7. Term and Termination
7.1 Term: This Agreement begins on the Effective Date and continues until terminated by either Party.
7.2 Termination for Convenience: Either Party may terminate this Agreement with 30 days’ written notice.
7.3 Termination for Cause: Either Party may terminate immediately for breach of this Agreement.
7.4 Effect of Termination: Influencer will be paid commissions due for referred clients up to the effective termination date; ongoing recurring revenue share may continue for the agreed client lifespan unless otherwise stated in the termination notice for cause.
8. Confidentiality
Influencer agrees to maintain the confidentiality of any non-public business, client, or technical information disclosed by LifeWise.
9. Intellectual Property
All LifeWise trademarks, logos, and marketing materials remain the exclusive property of LifeWise. Influencer may use them only for purposes of performance under this Agreement.
10. Independent Contractor Status
Influencer acts as an independent contractor and is responsible for all taxes, insurance, and expenses. Nothing herein constitutes an employment relationship.
11. Liability and Indemnification
Influencer will indemnify and hold harmless LifeWise from claims or liabilities arising from Influencer’s actions, representations, or breach of this Agreement.
12. Governing Law
This Agreement shall be governed by the laws of the State of [State], without regard to conflicts of law principles.
13. Entire Agreement
This document constitutes the entire agreement between the Parties and supersedes all prior discussions or agreements, whether written or oral.
